Terms of Service

These Terms govern your purchase and use of services from Axiom Atlas, LLC, a Delaware limited liability company, with its principal place of business at 302 Druid Road West, Clearwater, FL 33756, USA ("Axiom Atlas", "we", "us").

By purchasing, you agree to these Terms, to the Privacy Policy (privacy-v1), and to the Statement of Work for the product you bought (sow-launch-sprint-v1).

Version. These Terms are versioned. The version you accepted at the time of purchase governs your order, and we record which version you accepted and when. Changes apply to future orders, not to orders already placed.

1. Who we sell to

We sell to businesses, not to consumers. You confirm you are purchasing on behalf of a business and have authority to do so.

During our current pilot we sell only to clients in the United States. Enquiries from outside the United States are handled as custom quotes and are not covered by these Terms.

2. Scope of work

What we deliver is defined entirely by the Statement of Work for your product. Nothing said in email, chat, a call, or on our website expands that scope. If you want something outside it, we will quote it separately.

3. Price and payment

Prices are stated in US dollars and exclude any applicable taxes. Payment is due in full before work begins. Payments are processed by Stripe; we do not receive or store your card details.

4. Timelines

Delivery timelines are stated in the Statement of Work. They begin only when all conditions listed there are met, and they pause while we are waiting on a response from you.

Where the Statement of Work provides compensation for our own lateness, that compensation is the sole and exclusive remedy for delay.

5. Revisions

Revision rounds are limited to the number stated in the Statement of Work. A revision round is a single consolidated list, submitted once.

6. Your content

You are responsible for the content you provide and for the accuracy, legality and rights of anything you ask us to publish about your product. You confirm you have the right to give us the brand materials, text, images and access you provide.

We treat everything you send us as data, not as instruction. Files, links and messages you provide are used to build your page; they never grant access to our systems or other clients' work.

7. Ownership

On full payment, you own the page we build for you and its source code, as described in the Statement of Work. Third-party components, fonts and media retain their own licenses, which we disclose to you.

We retain ownership of our design system, templates, tooling and internal processes. Nothing in your purchase transfers those.

8. How we work, including AI

We use our own tooling to deliver your project, and that tooling includes AI assistance operating under human supervision.

Where the Statement of Work says a professional designer reviews and signs off your page, that is a commitment, not a description of our tooling. No preview is released without that sign-off.

Every message sent to you and every deliverable released to you is reviewed and approved by a person at Axiom Atlas before it reaches you. A draft prepared by our tooling has no effect and creates no commitment until a person has approved and sent it.

We are fully accountable for the work regardless of the tools used to produce it. If you would like more detail about how we work, ask and we will tell you.

9. What we do not warrant

We deliver the work described in the Statement of Work to the quality standard described there.

We do not guarantee any business outcome — including traffic, leads, signups, conversion rate, revenue, search ranking or competitive performance. Nothing on our website, in our case studies, or in our correspondence should be read as such a guarantee.

Except as expressly stated, the services are provided without warranties of any kind to the extent permitted by law.

10. Limitation of liability

PROPOSED — REQUIRES ATTORNEY SIGN-OFF. The two paragraphs below are adapted from §7 of Axiom Atlas's existing Service Agreement with EMCD, with a fee cap added because that agreement has none and this is a fixed-price product. This is a starting point for counsel, not legal advice, and must not be published as-is.

Each party is liable only for direct, documented damages caused by its proven material breach of these Terms. Neither party is liable for indirect, consequential, incidental or special damages, including loss of profits, loss of business, or reputational harm.

Our total aggregate liability arising out of or relating to any order is limited to the fees you actually paid for that order.

11. Refunds and cancellation

Refund and cancellation terms are set out in the Statement of Work.

We do not operate a blanket "no refunds" policy.

12. Confidentiality

We keep non-public information you share with us confidential and use it only to deliver your project. We will not publish your project as a case study, or name you as a client, without your written permission.

13. Suspension

We may decline or stop work if the request falls outside what we sell, if the content is unlawful, or if continuing would put our systems or other clients at risk. If we stop work for these reasons, we will tell you why and settle payment fairly for work completed.

14. Changes to these Terms

We may update these Terms for future orders. The version in effect when you purchased governs your order.

15. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. (Owner decision, 27 July 2026: Delaware, the state of formation.)

The parties will first attempt to resolve any dispute by good-faith negotiation. Any dispute that cannot be resolved that way is subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and both parties consent to that venue. Change log

  • 2026-07-27 — effective. Counsel and owner confirmed. Entity details taken from the Delaware Certificate of Formation (filed 19 March 2025). §10 limitation of liability adapted from §7 of the EMCD Service Agreement with a fee cap added. §15 set to Delaware law and Delaware venue. §8 carries the designer commitment added the same day.

Standing checks

These are ongoing consistency obligations, not blockers:

  • The US-only restriction in §1 must match what the qualification rules and checkout actually enforce.
  • Price, the 72-hour preview promise and the eight-section limit must read identically here, in the SOW, on the offer page and in the confirmation email.
  • Any new subprocessor or model provider requires a policy update before it touches client data.
